INTRODUCTION. SCOPE<\/h3>\n<p>The present document (\u201c<strong>Terms and Conditions<\/strong>\u201d) sets outs the terms and conditions under which SALT BANK S.A. shall supply to its users (\u201c<strong>you<\/strong>\u201d, the \u201c<strong>Customer<\/strong>\u201d) a payment service, for the purpose of making payments to certain beneficiaries displayed in the interface of the access channels (invoices issued by utility and\/or other service suppliers, charges, taxes, fines and other tariffs owed to some entities, authorities or public institutions) (the \u201c<strong>Service<\/strong>\u201d).<\/p>\n<p><strong>SALT BANK S.A.<\/strong> is a credit institution authorized by the National Bank of Romania, with the registered office at 5-7 Dimitrie Pompei Blvd., 6<sup>th<\/sup> floor, district 2, Bucharest, having the sole registration code (CUI) RO10318789, registered with the Trade Register under no. J1998002416408, registered in the Register of credit institutions under no. P.J.R. 40-043 (referred to hereunder as \u201c<strong>Salt Bank<\/strong>\u201d or the \u201c<strong>Bank<\/strong>\u201d).<\/p>\n<p>The service is supplied by Salt Bank in collaboration with <strong>SELFPAY S.A.<\/strong>, with the registered office at 153-155 Dacia Blvd., floors 5-7, district 2, Bucharest, sole registration code 26067497, J2009009919407 (\u201c<strong>SelfPay<\/strong>\u201d), and it is accessed by Customers through the following channels (the \u201c<strong>Channels<\/strong>\u201d):<\/p>\n<ul>\n<li><strong>the SelfPay stations<\/strong> \u2013 the self-service multifunction devices operated by SelfPay; and<\/li>\n<li><strong>the SelfPay Now mobile app<\/strong> \u2013 the mobile app owned and operated by SelfPay.<\/li>\n<\/ul>\n<p>The channels are put at the disposal of the Customers by SelfPay, on the basis of some distinct terms and conditions that are separately applicable to the relation between the Customer and SelfPay: (a) The Terms and Conditions for using the SelfPay Stations, respectively (b) the Terms and Conditions for using the SelfPay Now app; the documents are available any time for consultation on the website <a href=\"https:\/\/www.selfpay.ro\/en\/\">www.selfpay.ro<\/a> in the Legal section.<\/p>\n<p>The utilization of the Channels (including the rules regarding the functioning of the Payment Station, the payment in cash or by card, the cash receipt, the issuance and re-issuance of the receipts\/payment confirmations) is governed by SelfPay terms and conditions.<\/p>\n<p>Depending on the selected beneficiary of the payment and the contractual relations between the parties involved, the payments that may be made through the Channels with the involvement of Salt Bank fall into one of the following categories, with a different legal regime:<\/p>\n<p>(a) payments made through the money remittance service provided to the Customer by Salt Bank, against the displayed fee (to which they are applied Sections 2-6);<\/p>\n<p>(b) payments to beneficiaries with whom Salt Bank has concluded contracts for payment collection (for instance, taxes and fees owed to certain public authorities) (to which it is applied Section 7);<\/p>\n<p>and (c) the payment of the instalments corresponding to the loans granted by Salt Bank, in which Salt Bank has the capacity of payment beneficiary (lender) (to which it is applied Section 8);<\/p>\n<p>The category applicable to each payment results from the information displayed in the Channel interface before the payment confirmation. Payments from the categories (b) and (c) do not imply the supply of a payment service by Salt Bank to the Customer, and they do not imply fees owed by the Customer to Salt Bank, except for the case where it was agreed otherwise and a fee is expressly displayed in the Channel interface before the payment confirmation.<\/p>\n<p>By using the Service, you confirm that you have read, you have understood and you agree with the present Terms and Conditions, in the form put at disposal by means of the Channel used, before the initiation of the payment. The present document may also be consulted any time on the website <a href=\"http:\/\/www.selfpay.ro\/en\/\">www.selfpay.ro<\/a>\u00a0 in the section dedicated to legal documents. If you do not agree with the present document, please do not use the Service.<\/p>\n<h3>2. SERVICE DESCRIPTION<\/h3>\n<p>The present Section and Sections 3-6 apply to the payments from the category foreseen in Section 1 letter (a) &#8211; the service of money remittance supplied to the Customer by Salt Bank.<\/p>\n<p>The service consists of the reception by Salt Bank of the funds supplied by the Customer by means of the Channels, for the exclusive purpose of transferring the appropriate amount to the payment beneficiary indicated by the Customer (the supplier, the entity, the authority or the public institution selected in the Channel interface), without creating any payment account in the name of the Customer (payment service of the type of money remittance).<\/p>\n<p>The funds may be supplied by the Customer, depending on the Channel used and the available options:<\/p>\n<ol>\n<li>in cash, at the SelfPay stations;<\/li>\n<li>by card, at the payment stations foreseen with a POS terminal; or<\/li>\n<li>by card, in the SelfPay Now app, to the extent that the Service is available in the Application.<\/li>\n<\/ol>\n<p>Each payment operation made by means of the Service represents a single payment operation, governed by the present document, as it is put at the disposal of the Customer before the initiation of the operation.<\/p>\n<p>The payment beneficiaries to whom payments may be made by means of the Service are shown in the Channel interface and they may be modified periodically, depending on the technical and\/or commercial availability.<\/p>\n<h3>3. INITIATION, AUTHORIZATION AND EXECUTION OF THE OPERATIONS<\/h3>\n<h4>3.1. Data required to initiate the payment<\/h4>\n<p>In order to initiate a payment, the Customer selects the payment beneficiary in the Channel interface and fills in the payment details solicited in the operation flow (the unique identifier), that can include, as the case may be: the customer code, the contract number, the invoice number, the personal identification number (CNP\/PIN), the series of the notice or other details indicated in the Channel interface. In case of traffic fines, the unique identifier of the payment obligation is the series of the notice, as it is indicated in the Channel interface.<\/p>\n<p>The Customer has the obligation to verify attentively, before the payment confirmation, the correctness of all the details filled in and displayed, including the selected beneficiary, the type of the amount to be paid (for instance: fee, tax, fine, etc.), the unique identifier and the amount to be paid. The payment operation is considered correctly performed with regard to the indicated beneficiary through the unique identifier filled in by the Customer, according to the applicable law.<\/p>\n<h4>3.2. Authorization and the moment of receiving the payment order<\/h4>\n<p>The payment operation is considered authorized by the Customer, and the payment order is considered received by Salt Bank, at the time when the transaction is completed through the Channel used, respectively:<\/p>\n<ol>\n<li>at the Payment Station &#8211; at the time when the transaction is completed after inserting the cash or authorizing the payment by card, under the terms and conditions application to Payment Stations;<\/li>\n<li>in the SelfPay Now app &#8211; at the time when the payment is confirmed in the App, following its authorization.<\/li>\n<\/ol>\n<p>After the moment of receiving the payment order, the operation can no longer be revoked by the Customer, according to the applicable legal provisions. The elements of the operation (beneficiary, unique identifier, amount) cannot be corrected after this stage.<\/p>\n<h4>3.3. Execution of the operations. Time limits<\/h4>\n<p>Salt Bank executes the payment operations within the time limits foreseen by the legislation applicable to the services of payment in lei on the Romanian territory, so that the amount will be credited in the account of the supplier of payment services of the beneficiary at the latest by the end of the business day following the moment of receiving the payment order <strong>(T+1) business day.<\/strong> The time limits applicable to each category of payments are displayed in the Channel interface and\/or on the payment confirmation.<\/p>\n<p>The Customer understands that the date on which the payment beneficiary effectively distributes the amount in its own records (for instance, the settlement of the debt in the system of the supplier or of the public authority) depends on the internal procedures of the beneficiary and it may be subsequent to the execution date of the operation by Salt Bank.<\/p>\n<p>Salt Bank and SelfPay are not liable for any delays in the distribution of the amounts of money to the payment beneficiaries.<\/p>\n<p>The Customer has the obligation to verify, before making a payment, any time limits applicable to his\/her payment obligation (including the time limits for granting bonuses or for paying half of the minimum fine), considering the fact that the settlement of the amounts is completed in (T+1) business day. It is recommended to perform the payment <strong>at least two business days before the due date.<\/strong><\/p>\n<p>After making the payment through the SelfPay Channels, <strong>the operation may not be cancelled any more.<\/strong><\/p>\n<h4>3.4. Specific rules on fines<\/h4>\n<p>In case of fines, the offender may pay half of the minimum fine within maximum 15 days from the handover or communication date of the notice stating the offence, unless the law provides otherwise. The time limit is calculated in calendar days, according to art. 181 of the Civil procedure code: it is not taken into account the date on which the time limit starts to run, nor the date on which it ends, and if the time limit is on a non-business day or a public holiday, it is considered reached on the next business day. Compliance with these time limits, including by reference to the settlement regime of (T+1) business day, is the responsibility of the Customer.<\/p>\n<h4>3.5. Non-resident natural persons<\/h4>\n<p>In case of non-resident natural persons (with no domicile in Romania), the payer is identified on the basis of the details filled in in the interface of the SelfPay Channel. In the situation in which the payment cannot be allotted by the beneficiary authority due to a missing Romanian fiscal identifier, the Customer may obtain the proof of transaction under the conditions set out in Section 5.3, and submit it to the beneficiary authority for the payment allocation.<\/p>\n<h3>4. FEES<\/h3>\n<p>The fees applicable to the Service are clearly shown in the interface of the SelfPay Channel by which the payment is made.<\/p>\n<p>The Customer has the right to cancel the operation any time before its completion (inserting the cash, respectively authorizing the payment by card). Continuing the transaction after the fee is displayed, represents the express acceptance by the Customer of the applicable fee, as it was shown in the Channel interface before the payment initiation.<\/p>\n<p>The fee is retained from the amount paid by the Customer or it is added to the amount to be paid, according to the information shown in the operational flow, before the payment confirmation.<\/p>\n<h3>5. PAYMENT CONFIRMATION. PROOF OF PAYMENT<\/h3>\n<h4>5.1. Payment confirmation<\/h4>\n<p>The completed operation is confirmed by a corresponding document (receipt\/proof of payment issued by the Payment Station and\/or digital confirmation issued in the SelfPay Now app and\/or duplicate of the receipt issued on request by the SelfPay Customer Service). The Customer has the obligation to keep the payment confirmation until the settlement of the payment obligation in the records of the beneficiary.<\/p>\n<h4>5.2. Receipt not issued by the Payment Station<\/h4>\n<p>If the Payment Station has processed the amount without issuing the receipt\/confirmation of payment, for technical reasons, a duplicate shall be re-issued or transmitted by SelfPay, under the Terms and Conditions for using the SelfPay Payment Stations, by contacting the SelfPay Customer Service at <strong>021.529.7101 and\/or by means of the email address contact@selfpay.ro<\/strong>, and supplying and the information necessary to identify the transaction (the number of the Payment Station, the date and the approximate time, the amount). The request shall be settled within maximum 3 (three) business days.<\/p>\n<h4>5.3. Proof of payment<\/h4>\n<ul>\n<li>In case the completed payment does not appear in the records of the beneficiary within 3 (three) business days from the transaction date, the Customer may solicit the proof of payment: from the SelfPay Customer Service <strong>(021.529.7101 and\/or by means of the email address contact@selfpay.ro)<\/strong>, for the technical confirmation of the transaction made by means of the SelfPay Channel;<\/li>\n<\/ul>\n<p>The proof shall be supplied within maximum 3 (three) business days from the request.<\/p>\n<h3>6. LIABILITY<\/h3>\n<p>The payment order executed according to the details\/unique identifier filled in by the Customer, is considered correctly executed with regard to the beneficiary indicated through the details\/unique identifier. Salt Bank and SelfPay cannot be held liable if the Customer supplies incorrect or incomplete information or fails to select the right the beneficiary or type of amount to be paid. In such situations, Salt Bank shall make reasonable efforts to recover the funds of the operation, according to law, and offers support at the contact details from the present document.<\/p>\n<p>Within the limits of the applicable law, Salt Bank and SelfPay are not liable for the direct or indirect prejudices incurred by the Customer or by third parties following:<\/p>\n<ul>\n<li>the refusal of the payment beneficiary to accept or allocate the payment, or any delays in the allocation of the amounts imputable to the beneficiary;<\/li>\n<li>temporary unavailability of the Service, caused by the lack of technical capacity to perform an interaction between the systems involved, including in the periods of maintenance of the SelfPay Channels, under the terms and conditions applicable to the Channels used;<\/li>\n<li>the interruption or failure of the services of telecommunication, internet or supply of power of the external suppliers, or a fortuitous case or a force majeure event;<\/li>\n<li>the inappropriate use of the Channels by the Customer, in violation of the present document, the terms applicable to the Channel used or the applicable legislation;<\/li>\n<li>the loss, deterioration or disclosure by the Customer of the payment confirmation or of other documents related to the transaction.<\/li>\n<\/ul>\n<p>The liability for the operation of the Payment Stations and the SelfPay Now app is governed by the SelfPay terms and conditions applicable to the said Channel.<\/p>\n<h3>7. PAYMENTS TO BENEFICIARIES WITH WHOM SALT BANK HAS CONCLUDED CONTRACTS FOR COLLECTION<\/h3>\n<p>For certain beneficiaries shown in the Channel interface (for instance, public authorities that collect taxes and fees or certain suppliers), Salt Bank has concluded contracts for payment collection directly with the said beneficiaries, contracts based on which Salt Bank collects for them the amounts owed by the payers. The collection of the funds from the Customers by means of the Channels is performed with the support of SelfPay, under the contract concluded between SelfPay and Salt Bank.<\/p>\n<p>Within these operations, Salt Bank acts on behalf and on the account of the payment beneficiary for the collection of the amounts owed to the latter. The contractual relation corresponding to the collection is established between Salt Bank and the beneficiary, and no fee is charged to the Customer by Salt Bank, except for the situation in which a fee is expressly displayed before the payment confirmation.<\/p>\n<p>Salt Bank and the payment beneficiary are not liable for any delays, refusals or erroneous allocation of the payment generated by the supply of incorrect, incomplete or out-of-date information by the Customer.<\/p>\n<p>The payment confirmation issued after the successful completion of the payment through the SelfPay Channel (receipt issued by the Payment Station and\/or digital confirmation issued in the SelfPay Now app) is the proof of initiation and execution of the payment order by the Customer, within the limit of the paid amount and under the condition of the correct introduction of the details required for the identification of the payment obligation.<\/p>\n<p>The Customer takes note of the fact that the issuance of the payment confirmation is not equivalent to the immediate settlement of his\/her obligation towards the payment beneficiary. The settlement of the obligation and the acknowledgement of the payment by the beneficiary intervene in accordance with the time limits of execution applicable to the payment operation, including the time limit of (T+1) business day, as well as with the internal processing procedures of the beneficiary.<\/p>\n<p>The Customer has the responsibility to correctly select the type of amount to be paid (for instance: fee, tax, fine, tariff, etc.), depending on the type of service concerned, and to attentively fill in the details necessary to identify the payment and the payer (for instance: personal identification number (CNP\/PIN), customer code, notice number, document number), according to the information displayed in the Channel interface, before the confirmation of the transaction. The provisions of Sections 3.1, 3.4, 3.5, 5 and 6 apply accordingly to these payments.<\/p>\n<h3>8. PAYMENT OF LOAN INSTALMENTS TO SALT BANK<\/h3>\n<p>By means of the Channels they may be paid as well the instalments of the loans granted by Salt Bank. These payments do not represent a service of money remittance supplied pursuant to the present document: within these payment operations, Salt Bank has the capacity of payment beneficiary (lender), and the legal relation regarding the loan is governed by the loan contract concluded between the Customer and Salt Bank.<\/p>\n<p>The amounts paid for the loan instalments are highlighted\/blocked in the account exclusively for this purpose until their due date, the payment obligation of the Customer being considered settled within the limit of the amounts paid, under the condition of the correct introduction of the identification details solicited in the operational flow. For any situations related to the payment of the instalments, Salt Bank provides support at <strong>*4455 (021 318 95 00)<\/strong>.<\/p>\n<h3>9. COMPLAINTS<\/h3>\n<p>Any complaint about the Service (including about the execution of the payment operations) may be addressed to Salt Bank: by telephone at <strong>*4455 (021 318 95 00)<\/strong>; by email at <strong>salut@salt.bank<\/strong>; or in writing to the head office of the Bank.<\/p>\n<p>Complaints about the operation of the Payment Station, the non-issuance of the receipt, the receipt, shall be addressed to SelfPay, under the terms and conditions applicable to the Channel used, by means of the SelfPay Customer Service: <strong>021.529.7101, contact@selfpay.ro<\/strong>.<\/p>\n<p>For disputes with Salt Bank, the consuming Costumer may address as well to: the National Authority for Consumer Protection (<a href=\"https:\/\/anpc.ro\" target=\"_blank\" rel=\"noopener\">https:\/\/anpc.ro<\/a>), the Alternative Banking Dispute Resolution Centre (CSALB) (<a href=\"https:\/\/salt.bank\/despre-salt\/conformitate\/csalb\" target=\"_blank\" rel=\"noopener\">https:\/\/salt.bank\/despre-salt\/conformitate\/csalb<\/a>), as well as to the competent courts, according to the law.<\/p>\n<h3>10. PERSONAL DATA<\/h3>\n<p>In order to supply the Service, Salt Bank processes, in capacity of controller, the personal data of the Customer which is necessary to initiate and execute the payment operations (such as: surname and name, personal identification number (CNP\/PIN) or other identifier, details regarding the payment obligation, details regarding the transaction), in pursuance of the contract and the legal obligations applicable to the Bank, in compliance with Regulation (EU) 2016\/679 (GDPR).<\/p>\n<p>Complete information on the processing, including the rights of the persons concerned and the contact details of the data protection officer, is available in the Salt Bank Information Note, available on <a href=\"http:\/\/www.salt.bank\" target=\"_blank\" rel=\"noopener\">www.salt.bank<\/a> and by means of the SelfPay Channels.<\/p>\n<p>SelfPay processes the personal data in capacity of controller for the operation of the Channels and its own services, in accordance with the SelfPay information notes available at the Payment Station, in the SelfPay Now app and on <a href=\"https:\/\/www.selfpay.ro\/en\/legal\/legal-website\/privacy-policy\/\">https:\/\/www.selfpay.ro\/legal\/website\/politica-de-confidentialitate\/<\/a><\/p>\n<h3>11. AMENDMENT OF THE TERMS AND CONDITIONS. FINAL PROVISIONS<\/h3>\n<p>The present Terms and Conditions may be amended any time by Salt Bank. The version applicable to each operation is the one put at the disposal of the Customer by means of the Channel used, before the initiation of the said operation.<\/p>\n<p>Salt Bank and SelfPay may temporarily interrupt the availability of the Service on one or both Channels, including for technical, operational or compliance-related reasons.<\/p>\n<p>The present document is governed by the Romanian law. Any dispute shall be settled amicably, to the extent possible.
